Official Terms and Conditions
THIS PROMOTION IS A PARTICIPATION-BASED REWARDS PROGRAM, NOT A SWEEPSTAKES, LOTTERY, OR GAME OF CHANCE. NO RANDOM DRAWINGS WILL BE HELD AND NO WINNERS WILL BE SELECTED BY CHANCE. REWARDS ARE EARNED THROUGH PARTICIPATION AND ARE ALLOCATED PROPORTIONALLY BASED ON EACH ELIGIBLE PARTICIPANT'S FUNDED LOAN VOLUME, AS DESCRIBED BELOW.
1. Overview
The Figure $160K Community Appreciation Campaign (the “Campaign”) is a community rewards program in which eligible borrowers who fund a new, eligible Crypto-Backed Loans (“CBL”) during the Campaign Period may earn a proportional share of a community rewards pool. As cumulative funded CBL volume reaches the milestones set forth in Section 6, larger community reward pools are unlocked. Rewards are earned through participation and distributed proportionally based on funded loan volume contributed during the Campaign Period; no element of chance determines any reward.
2. Sponsor
Sponsor: Figure Lending LLC dba Figure, 650 S. Tryon Street, 8th Floor, Charlotte, NC 28202, NMLS ID 1717824 (the “Sponsor”). References to “Figure” in these Terms and Conditions (these “Terms”) mean the Sponsor and, as applicable, its affiliates.
3. Agreement to Terms
Participation in the Campaign constitutes each participant's full and unconditional agreement to these Terms. The Campaign is subject to all applicable federal, state and local laws and regulations and is void where prohibited or restricted. Sponsor's decisions are final and binding in all matters related to the Campaign. Receiving a reward is contingent upon fulfilling all requirements set forth herein. In the event of any discrepancy or inconsistency between any statements contained in Campaign-related materials and these Terms, these Terms shall prevail, govern and control.
4. Campaign Period
The Campaign begins on July 27, 2026 at 12:00 a.m. Pacific Time (“PT”) and ends on August 27, 2026 at 11:59 p.m. PT (the “Campaign Period”). The Campaign Period will run for approximately one (1) month. Sponsor's servers and records are the official time-keeping devices for the Campaign.
5. Eligibility
The Campaign is open only to legal residents of the fifty (50) United States and the District of Columbia, subject to the exclusions below, who are at least eighteen (18) years old (or the age of majority in their jurisdiction of residence, if higher) at the time of participation and who satisfy all underwriting, identity verification, and eligibility requirements applicable to Figure's Crypto-Backed Loan product. To receive any reward, a participant must be able to submit a valid IRS Form W-9 and have an active Figure Markets Wallet.
The following are excluded from the Campaign:

Residents of states where Figure's Crypto-Backed Loan product is not available, currently DC, ID, IL, KY, MD, MS, SD, TX, VT, and VA;

Residents of states designated by Sponsor as being ineligible for this Campaign, including AL, CO, FL, KS, MN, MT, NC, ND, NE, and, NY, and WI; and
-
Any person or entity that is (i) located in, resident in, or organized under the laws of any jurisdiction where participation or reward payment would be prohibited by applicable law, (ii) subject to U.S. economic or trade sanctions, or (iii) listed on any U.S. government restricted or prohibited parties list (including the U.S. Department of the Treasury's OFAC lists) or any similar list maintained by another applicable governmental authority.
6. How to Participate; Community Reward Milestones
No separate registration, entry form, or drawing is required. To participate, an eligible borrower must apply for, be approved for, and fund a new, eligible CBL through Figure during the Campaign Period (each, a “Qualifying Loan”). The following apply:

Only newly funded CBLs during the Campaign Period qualify. Rollovers, renewals, and refinances of existing Figure loans do not qualify.

Both existing Figure customers and new customers may participate, provided the loan funded during the Campaign Period is a new CBL, and customer has never completed a CBL at any point in the past.

Following origination, partial liquidations of collateral do not disqualify a Qualifying Loan so long as the loan remains open and in good standing.

Loan approval and funding remain subject to Figure's standard underwriting, credit, collateral, and compliance requirements, and to the terms of the applicable loan agreement. Participation in the Campaign does not affect loan terms, and nothing in these Terms modifies any loan agreement.
As cumulative Qualifying Loan volume funded during the Campaign Period reaches each milestone below, the corresponding total community reward pool is unlocked. Only the highest milestone reached by the end of the Campaign Period determines the total reward pool.

*Rewards are paid approximately 1.1 months after the Campaign Period ends, as described in Section 8. Rewards are paid in USDC or YLDS, at Sponsor's discretion, as a credit to the participant's Figure Markets account/wallet.
7. Reward Qualification Requirements
To receive a reward allocation, a participant must satisfy all of the following:

The participant's Qualifying Loan must remain open for a minimum of one (1) month following funding;

The Qualifying Loan must remain in good standing through the reward distribution date; and
-
The participant must maintain Campaign eligibility (including account good standing and eligibility under Section 5) through the reward distribution date.
If a Qualifying Loan is paid off, refinanced, or otherwise closed before it has remained open for the minimum one (1) month period, the borrower forfeits their reward allocation. Forfeited allocations will be redistributed proportionally among remaining eligible participants.
8. Reward Calculation, Distribution, and Timing
The total unlocked reward pool will be allocated among all eligible participants proportionally, based on each participant's share of the total Qualifying Loan volume funded during the Campaign Period. For example, a participant whose Qualifying Loan represents 15% of total funded Qualifying Loan volume will receive 15% of the unlocked reward pool, subject to satisfying the qualification requirements in Section 7.
Illustrative Example (assuming the $500,000 milestone is the highest reached, unlocking a $2,800 reward pool, and five participants fund the entire volume):

This example is for illustration only. Actual reward amounts will depend on the total Qualifying Loan volume funded, the highest milestone reached, and each participant's proportional share.
Rewards will be calculated after the one-month post-Campaign holding period described in Section 7 and are expected to be distributed approximately 1.1 months after the end of the Campaign Period. Rewards will be delivered as a credit in USDC or YLDS, at Sponsor's discretion, to the eligible participant's Figure Markets Wallet. Participants must maintain an open Figure Markets account in approved status and good standing to receive a reward. Reward values stated herein are in U.S. Dollars.
9. Taxes
Participants are responsible for all federal, state, and local taxes and any fees associated with the receipt and/or use of any reward. Sponsor (or its designated affiliate) will issue an IRS Form 1099 to reward recipients as required by applicable law, and each participant must submit a valid IRS Form W-9 as a condition of receiving any reward.
10. Publicity
Except where prohibited by law (including, without limitation, in Tennessee), participation in the Campaign constitutes each reward recipient's consent and grant to Sponsor and its agents to use the recipient's name, city, state, likeness, photograph, social handle, voice, opinions, and/or reward information for promotional, advertising, or other purposes, in any media, without further notice, review, approval, payment, or other consideration. Sponsor is not obligated to use any such information but may do so and may edit such materials at its sole discretion. Sponsor will not use any such information in a manner inconsistent with its Privacy Policy or applicable law.
11. General Conditions
- Sponsor's Right to Modify or Cancel: Sponsor reserves the right to cancel, suspend, and/or modify the Campaign, including but not limited to the reward pool and its fulfillment, where any of the following occur: fraud; technical failures; human error; any other factor that impairs the integrity or proper functioning of the Campaign; or any event or cause beyond Sponsor's control (e.g., natural calamities, national emergencies, widespread illnesses, declarations of war, acts of God, acts of terrorism) that interferes with any aspect of the Campaign, as determined by Sponsor in its sole discretion. Where any such issue occurs, Sponsor will make reasonable efforts to allocate rewards among eligible participants based on Qualifying Loan volume funded up to the date of the issue, and/or modify the rewards offered.
- Sponsor's Right to Disqualify Participants: Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the operation of the Campaign, engaging in fraudulent activity (including, without limitation, funding loans without a bona fide borrowing purpose in order to manipulate reward allocations), or acting in violation of these Terms or in a disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Campaign may be a violation of criminal and civil law, and Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Terms shall not constitute a waiver of that provision.
- Reward Pool Limits: In no event will Sponsor distribute more than the total reward pool corresponding to the highest milestone actually reached during the Campaign Period, and in no event more than $160,000 in the aggregate.
- Local Law Compliance: Sponsor may require proof of residency and/or location and may disqualify any participant if Sponsor determines, in its reasonable discretion, that the participant is not eligible or that participation or reward payment would violate applicable law or regulation in the participant's jurisdiction.
- Reward Payment Restrictions: Sponsor reserves the right to withhold, delay, or require an alternative reward delivery method if necessary to comply with applicable law, regulation, sanctions restrictions, or platform compliance requirements.
12. Release; Limitations of Responsibility
By receipt of any reward, each recipient agrees to release and hold harmless Sponsor and its parents, subsidiaries, affiliates, suppliers, distributors, advertising and promotion agencies, and each of their respective officers, directors, employees, and agents (collectively, the “Released Parties”) from any and all actions, claims, injury, loss, or damage arising in any manner, directly or indirectly, from participation in this Campaign and/or acceptance, use, inability to use, misuse, or redemption of a reward.
The Released Parties are not responsible for: any incorrect or inaccurate information, whether provided by participants or caused by printing errors or by any equipment or programming associated with or utilized in the Campaign; technical failures of any kind, including malfunctions, interruptions, or disconnections in internet service, phone lines, or network hardware or software; unauthorized human intervention in any part of the Campaign; technical or human error in the administration of the Campaign, including the tracking of Qualifying Loans or the calculation of reward allocations; or any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, by a participant's participation in the Campaign or the receipt, use, inability to use, or misuse of any reward.
13. Disputes
All disputes will be resolved as set forth in this section. Any and all disputes, claims, and causes of action arising out of or connected with this Campaign or any reward shall be resolved individually, without resort to any form of class action, and exclusively by binding arbitration. Any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys' fees. Under no circumstances will a participant be permitted to obtain awards for, and each participant hereby waives all rights to claim, indirect, punitive, incidental, and consequential damages and any other damages other than actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms, or the rights and obligations of participants and Sponsor in connection with the Campaign, shall be governed by and construed in accordance with the laws of the State of North Carolina without giving effect to any choice of law or conflict of law rules.
14. Severability
If the application of any provision of these Terms to any particular facts or circumstances shall for any reason be held to be invalid, illegal, or unenforceable by a court, arbitration panel, or other tribunal of competent jurisdiction, then: (a) the validity, legality, and enforceability of such provision as applied to any other particular facts or circumstances, and the other provisions of these Terms, shall not in any way be affected or impaired thereby; and (b) such provision shall be enforced to the maximum extent possible. In addition, if any provision contained in these Terms shall for any reason be held to be excessively broad as to duration, geographical scope, activity, or subject, it shall be construed by limiting and reducing it so as to be enforceable to the extent compatible with applicable law.
